These terms and conditions outline the rules and regulations for the use of BookedSolid's Websites, located at bookedsolid.co.uk, app.bookedsolid.co.uk and dashboard.bookedsolid.co.uk (hereafter referred to as the 'Websites').

By accessing this website we assume you accept these terms and conditions. Do not continue to use the Websites if you do not agree to take all of the terms and conditions stated on this page.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Business’s terms and conditions. "The Business", "Ourselves", "We", "Our" and "Us", refers to our Business. "Party", "Parties", or "Us", refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Business’s stated services, in accordance with and subject to, prevailing law of the United Kingdom. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

1. Acceptance of Terms

By accessing and using our platform, you accept and agree to be bound by the terms and provisions of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services. Any participation in this service will constitute acceptance of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

BookedSolid provides an AI-powered conversational booking, including integrations with a third-party booking system or access to our own booking system. BookedSolid retains the right modify or discontinue features of the service at any time.

3. User Responsibilities

Users are responsible for maintaining the confidentiality of their account information, including their password, and for all activity that occurs under their account. Users agree to notify us immediately of any unauthorised use of their account or password or any other breach of security. Users must comply with local, state, and international laws regarding customer communications, including the GDPR. The service must not be used for illegal activities or to engage in spamming or harassing clients.

4. Payment and Subscription

Following any initial free trial period, continued access to the service will require a paid subscription. All fees are non-refundable except as required by law. Monthly bookings allowance includes bookings that have been cancelled.

5. Termination

We reserve the right to terminate or suspend your access to our service at any time, without prior notice or liability, for any reason, including but not limited to breach of the terms. Upon termination, your right to use the service will immediately cease.

6. Limitation of Liability

In no event shall BookedSolid, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the service; (ii) any unauthorised access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the service; (iv) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the service; and/or (vi) the defamatory, offensive, or illegal conduct of any third party. In no event shall BookedSolid's liability exceed the amount paid by you, if any, for accessing the service.

7. Provisioned Phone Numbers

As a part of it's service, BookedSolid may provision a phone number to a client. This phone number remains the property of BookedSolid and may be reclaimed at any time. BookedSolid will make reasonable efforts to notify the client before reclaiming the phone number. BookedSolid will not be liable for any damages or losses resulting from the reclamation of a phone number.

8. Changes to Terms

BookedSolid reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

9. Cookies

We employ the use of cookies. By accessing the Websites, you agreed to use cookies in agreement with the BookedSolid's Privacy Policy.

Most interactive websites use cookies to let us retrieve the user’s details for each visit. Cookies are used by our Websites to enable the functionality of certain areas to make it easier for people visiting our website. Some of our affiliate/advertising partners may also use cookies.

10. Licence

You must not:

Republish material from the Websites
Sell, rent or sub-license material from the Websites
Reproduce, duplicate or copy material from the Websites
Redistribute content from the Websites

This Agreement shall begin on the date hereof.

11. Content Liability

We shall not be held responsible for any content that appears on your Website. You agree to protect and defend us against all claims that are rising on your Website. No link(s) should appear on any Website that may be interpreted as libellous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.

11. User Submissions

General

The Site provides certain features which enable you and other users to submit, post, and share content with other users, in a text-based format. User Submissions are displayed for informational purposes only and are not controlled by BookedSolid.

BookedSolid cannot guarantee any anonymity or confidentiality with respect to any User Submissions and strongly recommends that you think carefully about what you upload to the Site. You understand that all User Submissions are the sole responsibility of the person from whom such User Submission originated. This means that you, and not BookedSolid, are entirely responsible for all User Submissions that you upload, post, e-mail, transmit, or otherwise make available through the Site.

Right to Remove or Edit User Submissions

BookedSolid makes no representations that it will publish or make available on the Site any User Submissions and reserves the right, in its sole discretion, to refuse to allow any User Submissions on the Site, or to edit or remove any User Submission at any time with or without notice.

License Grant by You to BookedSolid

You retain all your ownership rights in original aspects of your User Submissions. By submitting User Submissions to BookedSolid, you hereby grant BookedSolid and its affiliates, sub-licensees, partners, designees, and assignees of the Site (collectively, the "BookedSolid Licensees") a worldwide, non-exclusive, fully paid-up, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, reproduce, distribute, modify, adapt, prepare derivative works of, publicly display, publicly perform, and otherwise exploit your User Submissions and derivatives thereof in connection with the Site and BookedSolid’s (and its successors’) business, including, without limitation, for marketing, promoting, and redistributing part or all of the Site (and derivative works thereof), in any media formats and through any media channels now known or hereafter discovered or developed.

User Submissions Representations and Warranties

You are solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and warrant that:

(1) You own, or have the necessary licenses, rights, consents, and permissions to use and authorise BookedSolid to use all patent, trademark, copyright, or other proprietary rights in and to your User Submissions to enable inclusion and use of your User Submissions in the manner contemplated by BookedSolid and these Terms, and to grant the rights and license set forth above, and

(2) Your User Submissions, BookedSolid’s or any BookedSolid Licensee’s use of such User Submissions pursuant to these Terms, and BookedSolid’s or any of BookedSolid Licensee’s exercise of the license rights set forth above, do not and will not:

(a) Infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;

(b) Cause injury to any other person;

(d) Require obtaining a license from or paying fees or royalties to any third party for the exercise of any rights granted in these Terms, including, by way of example and not limitation, the payment of any royalties to any copyright owners, including any royalties to any agency, collection society, or other entity that administers such rights on behalf of others.

BookedSolid may, but is not obligated to, monitor and edit or remove any activity or content, including but not limited to content that BookedSolid determines in its sole discretion to be violative of the standards of this Site. BookedSolid takes no responsibility and assumes no liability for any User Submissions.

Inaccurate or Offensive User Submissions

You understand that when using the Site, you may be exposed to User Submissions from a variety of sources and that BookedSolid does not endorse and is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable. You acknowledge and agree, to the fullest extent permitted by applicable law, that neither BookedSolid (nor any member of the BookedSolid group of companies (and any subsidiary of such entity)), has any liability to you in respect of any such user submissions.

14. Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to our Websites and the use of these websites. Nothing in this disclaimer will:

limit or exclude our or your liability for death or personal injury;
limit or exclude our or your liability for fraud or fraudulent misrepresentation;
limit any of our or your liabilities in any way that is not permitted under applicable law; or
exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort and for breach of statutory duty.

We will not be liable for any loss or damage of any nature as a result of viewing content on our Websites.

15. Miscellaneous

If any part of the T&Cs is found to be unenforceable, the rest of the agreement remains in effect. The T&Cs, along with any referenced policies, constitute the entire agreement between the user and BookedSolid.

16. Governing Law

These terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

18. Data Processing Agreement (DPA)

To the extent that BookedSolid processes any Personal Data (as defined in the UK GDPR and EU GDPR) on behalf of the Client in the course of providing the services, the terms of our Data Processing Agreement (the “DPA”) are incorporated by reference and shall apply.

By agreeing to these Terms, the Client is entering into the DPA on behalf of itself and, to the extent required under applicable Data Protection Laws, in the name and on behalf of its affiliates.

The DPA governs the processing of Personal Data by BookedSolid on behalf of the Client, and sets out the obligations of both parties with respect to data protection, confidentiality, security measures, sub-processing, data breach notifications, and international data transfers.
